KOS (CIR GROUP): IN FIRST QUARTER REVENUES AT 87 MILLION, EBITDA AT 12.1 MILLION, NET INCOME AT 2.8 MILLION
Milan, April 21 2011 – The Board of Directors of KOS SpA (CIR group) met today and examined the results of the first quarter of 2011.

KOS (CIR GROUP): ENTRY FINALIZED OF AXA PRIVATE EQUITY INTO THE COMPANY’S CAPITAL
Milan, December 23 2010 – CIR-Compagnie Industriali Riunite SpA gives notice that the agreement between the shareholders of its subsidiary KOS announced on October 28 has today been completed following the authorization of the European Antitrust Authority. This agreement involves the entry of AXA Private Equity into the capital of KOS with a minority interest. KOS is one of the main operators in the healthcare sector in Italy.

CIR: AGREEMENT WITH AXA PRIVATE EQUITY FOR THE DEVELOPMENT OF KOS
Milan, October 28 2010 – AXA Private Equity will enter into the capital structure of KOS with a 41.1% share by buying out most minority shareholders and subscribing to a dedicated rights issue. In the next three years, through further capital increases, it will raise its stake to 46.7%, with a total financial commitment of 150 million euro. CIR will remain the majority shareholder of the company with an interest that after completion of the deal will be of 51%. Thanks to the agreement, KOS will have new resources to fund its growth plans. The planned listing on the Stock Exchange has been cancelled although it remains an option in the medium-long term.

KOS (CIR GROUP): REVENUES OF FIRST NINE MONTHS AT 239 MILLION EURO, EBITDA AT 32.2 MILLION, NET INCOME AT 4 MILLION

KOS (CIR Group) TO WAIT FOR MORE STABLE MARKETS TO LAUNCH IPO
Milan, June 14 2010 – The Board of Directors of KOS SpA, which met today, has decided to delay the listing of the company on the Stock Exchange until there is greater stability in the financial markets. The listing plan will be resumed in coming months if compatible with market conditions.

Milan, March 31 2010 – KOS S.p.A., the company of the CIR group active in the care-home sector, has today filed an application to Borsa Italiana and Consob for admission to the listing of its ordinary shares on the Mercato telematico azionario (Mta market) and a request for authorization to publish its listing prospectus.

KOS (CIR GROUP): TWO NEW ACQUISITIONS IN LOMBARDY, MORE THAN 5,550 BEDS NOW IN OPERATION
Milan, March 3 2010 – KOS SpA, the company of the CIR group active in the long term care and healthcare sectors, has finalized the acquisition of two skilled nursing homes (RSAs) in the province of Milan. The two facilities, situated in Segrate and in Cassina De’ Pecchi, have between them a total of 297 beds (150 and 147 respectively).

Milan, February 25 2010 – The Board of Directors of KOS SpA (CIR group), which met today under the chairmanship of Claudio Stabon, approved the proposed financial statements for financial year 2009.

KOS (CIR GROUP): NEW ACQUISITION IN THE MARCHE REGION, MORE THAN 5,200 BEDS NOW OPERATIONAL
Milan, January 28 2010 – KOS SpA, the company of the CIR group active in the residential care sector of the healthcare business, has today finalized the acquisition, through its subsidiary Istituto di Riabilitazione S.Stefano, of Sanatrix SpA, the group in the Marche region which owns a care home with 205 beds in Civitanova Marche (Macerata). The deal involved a disbursement of approximately 18 million euro. KOS, which already had a minority shareholding in Sanatrix, now holds a stake of 76.9% in the company.

HOLDING SANITA’ E SERVIZI (CIR GROUP) BECOMES KOS
Milan, December 18 2009 - Holding Sanità e Servizi, the company of the CIR group active in residential care, has changed its name to KOS (www.kosgroup.it). The name KOS, which is inspired by the Greek island where Hippocrates was born, was approved by the Shareholders’ meeting which marked the seventh year of business of the company.
