KOS milestones
2002 - Founding of Holding Sanità e Servizi S.p.A.
The KOS Group began operating in 2002 under the direction of Claudio Stabon and Giuseppe Vailati Venturi, in the area of investment and development within the CIR Group, and with Piero Micossi, professor of medicine and manager of various hospitals, overseeing the initiative. The project was implemented by the Issuer, known at that time as “SA.E.F (Sanfilippo Editoriale Finanziaria) S.p.A.”, a corporate vehicle indirectly controlled by the CIR Group that was established in 1984 and remained largely inactive until 2002.
Under the direction of Piero Micossi, who led the Group until his untimely death in August of 2009, the Issuer launched its operations with the objective of creating a focal point for the private healthcare sector, and in particular care for the elderly and rehabilitation. On 13 September, 2002 the Issuer changed its company name to “HSS – Holding Sanità e Servizi S.p.A.”, which was subsequently changed to “KOS S.p.A.”.
2003 - The growth of the Group
The growth of the KOS Group from 2003 to today, due to both the typical characteristics of the healthcare sector and the Group’s ambitious growth objectives, occurred principally via the acquisition of already existing facilities or companies and less so through the acquisition of land and the construction of new facilities for elderly care and rehabilitation.
In 2003, the acquisition of the companies, Villa Margherita S.r.l. and La Margherita S.r.l. marked its first purchase of three residential care homes for non self-sufficient elderly in Liguria.
2004 - The Group entered the rehabilitation sector
In 2004 the Group also entered the rehabilitation sector with the acquisition of the entire share capital of Redancia, a company working since 1990 on a research project focused on a specific intervention tool used in treating and rehabilitating psychiatric patients, and which managed four residences in Liguria.
That same year, following the award of a public tender for the renovation and management of Suzzara Hospital organized by the Lombardy Region, the Group took over the management of Suzzara Hospital, in the province of Mantua.
This operation was achieved through the establishment of a joint-stock company with 65% of shares owned the Issuer and the remaining 35% by third party suppliers of “no core” services. All property is owned by the Carlo Poma Hospital in Mantua.
2006 - Acquisition of Residenze Anni Azzurri and Medipass
In June of 2006 the KOS Group acquired 100% of Residenze Anni Azzurri, one of the principal private operators in Italy in terms of revenues and number of beds, which at that time managed 11 residential care homes in four different regions for a total of 1,600 beds.
As a result of this acquisition, the KOS Group achieved national relevance, positioning itself among the top private operators in the sector of reference.
In July 2006, the Group acquired 100% of Medipass, a company that outsources advanced services for managing complex medical technologies (diagnostic imaging, nuclear medicine and radiotherapy, with this last one currently under development) for public and private hospitals and healthcare facilities.
2007 - Acquisition of Santo Stefano
In July 2007 the Group consolidated its presence in the rehabilitation sector through the acquisition of the entire share capital of Santo Stefano S.r.l., a company that holds the entire share capital of the Istituto di Riabilitazione Santo Stefano (and subsequently merged by incorporation with the latter), a historical company located in the Marche and active in the rehabilitation sector with five facilities and a total of 755 beds as well as 13 outpatient rehabilitation centres .
2008 - The Group began a reorganization process
In September 2008 Medipass launched a “technical-administrative management service in radiology/neuroradiology” at the New Hospital in Mestre (VE), an institute that was established that same year and which achieved recognition as the best public-private partnership project in 2005.
Beginning in 2008 the Group also began a reorganization process through a series of special operations aimed at streamlining and simplifying the corporate structure of the Group, with the specific objective of placing a single legal entity above each department.
2009 - The Group changed its company name to “KOS S.p.A.”
In June and July of 2009 Medipass completed a department equipped with a cyclotron and radiopharmacy equipment, providing a management service for the production of radiopharmaceuticals for PET/TAC diagnostics at the Hospital Centre in Castelfranco Veneto (TV).
On 18 December 2009 the Issuer changed its company name to “KOS S.p.A.”.
2010 - Recent operations
On 28 January 2010 the Istituto di Riabilitazione Santo Stefano acquired an additional share of 50.53% of the capital of Sanatrix S.r.l. thus holding a total share of 76.97% of the relative share capital.
Sanatrix S.r.l. is the owner of the nursing home, “Villa dei Pini” in Civitanova Marche (MC), which houses 180 beds, 105 of which are hospital beds, 15 are for rehabilitation and 60 for the elderly, and also holds shareholdings in several property owning companies. The “Villa dei Pini” nursing home offers services largely targeted at patients in the post-acute phase with a high potential for integrating rehabilitation services from the Istituto di Riabilitazione Santo Stefano.
On 1 March 2010, in a single operation, the Issuer completed the acquisition of (i) 100% of the share capital of the company San Rocco S.r.l., active in the management of a RC site in Segrate (MI) and holder of the relative accreditation for 150 beds as well as an integrated day centre with 12 places; (ii) 100% of the share capital of Melograno S.r.l., active in the management of the RC, Melograno, which is located in Cassina de’ Pecchi (MI) and holder of the relative accreditation for 147 beds as well as an integrated day centre with 10 places (iii) 100% of the share capital of Ital. Com S.p.A., a real estate company and owner of the facilities in which RC Melograno in Cassina de’ Pecchi (MI) operates and for which negotiations for the transfer of ownership to a real estate partner are underway.
